This is a legally binding agreement. By accessing or using the Service, you agree to these Terms.
1. Definitions
"Castiz", "we", "us", and "our" refer to the operator of the Castiz service and any affiliated entities involved in providing it (the "Provider").
"Service" means the Castiz websites, apps, player, embeddable components, APIs, and related services, features, and content.
"You" and "User" mean any person or entity accessing or using the Service.
"Content" means any audio, video, text, graphics, data, software, links, or other materials made available through the Service.
"User Content" means Content you upload, transmit, submit, publish, store, or otherwise make available through the Service.
2. Acceptance; Changes
By using the Service, you confirm that you have read, understood, and agree to these Terms. If you do not agree, do not use the Service.
We may update these Terms from time to time. The updated Terms will be effective when posted, unless we specify a later date. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms.
3. Eligibility; Authority
You must be legally capable of entering into a binding contract to use the Service. If you use the Service on behalf of an entity, you represent and warrant that you have the authority to bind that entity to these Terms.
4. Accounts; Security
Some features may require an account. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account. You agree to notify us promptly of any unauthorized access or use.
5. Your Content; Your Responsibilities
You retain any ownership rights you have in your User Content. You are solely responsible for your User Content and the consequences of publishing it, including ensuring that you have all necessary rights, licenses, consents, and permissions.
You agree that you will not upload, post, transmit, or otherwise make available any User Content that:
- infringes or violates any intellectual property or other right of any third party;
- is unlawful, harmful, abusive, harassing, defamatory, hateful, or otherwise objectionable;
- contains malware, spyware, or other harmful code;
- violates any applicable law or regulation; or
- is intended to exploit, endanger, or harm minors.
6. License You Grant to Castiz
To operate the Service, you grant Castiz a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to host, store, reproduce, transcode, distribute, publicly perform, publicly display, communicate to the public, and otherwise use your User Content, in each case solely as necessary to provide, maintain, secure, and improve the Service and to make your User Content available as directed by you (including via the player and embeds).
You may revoke this license by removing your User Content, except to the extent the Content has been shared with others, cached, backed up, or retained as required for legal, security, or operational purposes.
7. Intellectual Property; Feedback
The Service (including all software, code, design, and non-User Content) is owned by or licensed to Castiz and is protected by applicable intellectual property laws. Except for the limited rights expressly granted to you, no rights are granted.
If you provide feedback or suggestions, you grant Castiz a perpetual, irrevocable, worldwide, royalty-free right to use them without restriction or compensation.
8. Acceptable Use; Prohibited Conduct
You agree not to:
- use the Service for any unlawful purpose or in violation of these Terms;
- attempt to gain unauthorized access to the Service or any systems or networks;
- interfere with, disrupt, or degrade the Service (including via scraping, DDoS, or automated abuse);
- reverse engineer, decompile, or attempt to derive source code, except where prohibited by law;
- circumvent access controls, DRM, geographic restrictions, or security features;
- use the Service to distribute unsolicited promotions or spam; or
- use the Service in a way that infringes third-party rights.
9. Copyright; Notice-and-Takedown
We respect intellectual property rights and expect you to do the same. If you believe Content on the Service infringes your rights, please submit a written notice using the contact information provided in the Service (or via the support channels published there) with sufficient information to identify the content and your claim.
We may remove or restrict access to Content and may terminate repeat infringers, as appropriate and as required by applicable law.
10. Third-Party Services; Links
The Service may include links to, integrations with, or dependencies on third-party services. Castiz does not control and is not responsible for third-party services. Your use of third-party services is governed by their terms and policies.
11. Paid Features; Billing (If Applicable)
Some features may require payment. If you purchase a paid plan, you agree to pay all applicable fees and taxes, and you authorize us (or our payment processors) to charge your payment method. Fees are generally non-refundable except where required by law or expressly stated at the time of purchase.
12. Suspension; Termination
We may suspend or terminate access to the Service (or portions of it) at any time, with or without notice, if we reasonably believe you have violated these Terms, pose a security risk, or if required by law. You may stop using the Service at any time.
13. Disclaimers
the service is provided "as is" and "as available" without warranties of any kind.
To the maximum extent permitted by law, Castiz disclaims all warranties, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Service will be uninterrupted, secure, error-free, or free of harmful components, or that any content will be accurate, complete, or reliable.
14. Limitation of Liability
to the maximum extent permitted by law, castiz will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages.
To the maximum extent permitted by law, in no event will Castiz (including its affiliates, directors, officers, employees, contractors, agents, licensors, and service providers) be liable for: (a) loss of profits, revenue, goodwill, business opportunities, or data; (b) service interruptions or security incidents; (c) your use of or inability to use the Service; or (d) the conduct or content of any third party (including other users).
To the maximum extent permitted by law, Castiz’s total aggregate liability for all claims arising out of or relating to the Service or these Terms will not exceed the greater of: (i) the amounts you paid to Castiz for the Service during the twelve (12) months immediately preceding the event giving rise to the claim, or (ii) USD $100.
Some jurisdictions do not allow certain limitations. In that case, the above limitations apply to the fullest extent permitted.
15. No Personal Liability
you agree not to assert claims against individuals.
To the maximum extent permitted by law, you agree that any claim, demand, or dispute you may have arising out of or relating to the Service or these Terms will be brought only against the Provider entity, and not against its founders, shareholders, directors, officers, employees, contractors, advisors, or agents in their personal capacity.
16. Indemnification
To the maximum extent permitted by law, you agree to defend, indemnify, and hold harmless Castiz and its affiliates, directors, officers, employees, contractors, agents, licensors, and service providers from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising from or related to: (a) your use of the Service; (b) your User Content; (c) your violation of these Terms; or (d) your violation of any law or any third-party rights.
17. Governing Law; Venue
Unless mandatory law provides otherwise, these Terms and any dispute arising out of or relating to the Service are governed by the laws of the State of Israel, without regard to conflict-of-laws principles. Subject to mandatory consumer protection laws, you agree to the exclusive jurisdiction and venue of the competent courts located in Tel Aviv-Yafo, Israel.
18. Time Limit to Bring Claims
To the maximum extent permitted by law, any claim arising out of or relating to the Service or these Terms must be filed within twelve (12) months after the claim arose; otherwise, the claim is permanently barred.
19. Class Action Waiver
To the maximum extent permitted by law, you agree that disputes will be brought only on an individual basis and not as a plaintiff or class member in any purported class, collective, representative, or private attorney general proceeding.
20. Miscellaneous
- Severability. If any provision is held unlawful or unenforceable, the remaining provisions remain in full force and effect.
- No waiver. Our failure to enforce a provision is not a waiver of our right to do so later.
- Assignment. You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, sale of assets, or by operation of law.
- Entire agreement. These Terms constitute the entire agreement between you and Castiz regarding the Service.
